Partnership Agreements

Partnership agreements are important in both commercial and public limited companies. The Companies Act and the Articles of Association set the framework for how the company shall be governed. However, it is important to think about writing an agreement between the shareholders of a corporation because the rules of the Companies Act do not cover the parties’ dealings. You can regulate in the agreement what applies if you and your business partner do not agree. Some important points are: illness, profit sharing, valuation, new shareholders, breach of contract, insolvency, death, private property, division of property and insurance.
